Welcome to apicheap.net (the "Site"). These Terms of Service ("Terms") govern your access to and use of the apicheap.net API services, software, website, and related products (collectively, the "Services").

The Services are owned and operated by LOOM AGENCY LIMITED, a company registered in Hong Kong with registered address at:

2. DESCRIPTION OF SERVICE

apicheap.net provides the following services:

2.1 API Keys

Access to artificial intelligence model APIs at competitive rates, including but not limited to:

Text generation APIs
Image generation APIs
Embedding APIs
Speech-to-text and text-to-speech APIs
Other AI model endpoints as made available

2.2 Agent Setup Services

Consulting and technical setup services for deploying AI assistants and agents, including:

Custom agent configuration
Integration with messaging platforms (Telegram, WhatsApp, Discord, etc.)
Workflow automation setup
Training and documentation

2.3 Documentation

Technical guides, API references, code examples, and integration tutorials.

2.4 Support

Customer support for technical issues and billing inquiries via admin@apicheap.net.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

3. USER ACCOUNTS

3.1 Registration

To access certain features of the Services, you must create an account. By registering, you agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security of your password and API keys
Accept all risks of unauthorized access to your account
Notify us immediately at admin@apicheap.net of any security breach

3.2 Account Verification

We reserve the right to require identity verification for:

High-volume API usage (exceeding 100,000 requests/month)
Suspicious activity or fraud prevention
Compliance with applicable laws and regulations

Verification may include:

Government-issued ID
Proof of address
Business registration documents
Payment method verification

3.3 Account Security

You are solely responsible for:

Maintaining the confidentiality of your login credentials
All activities that occur under your account
Ensuring your API keys are not publicly exposed (e.g., in GitHub repositories, public forums)
Implementing appropriate security measures (environment variables, secret management)

3.4 Account Termination

We reserve the right to suspend or terminate accounts that:

Violate these Terms or the Acceptable Use Policy
Engage in fraudulent, illegal, or abusive activity
Intentionally exceed rate limits or circumvent security measures
Remain inactive for 12 consecutive months
Fail to complete required verification

Upon termination:

Access to API keys is immediately revoked
Unused credits are forfeited (except as required by law)
Data is deleted per our Privacy Policy

3.5 Multiple Accounts

Creating multiple accounts to abuse free tier quotas, evade restrictions, or circumvent bans is prohibited and may result in termination of all associated accounts.

4. PAYMENT AND BILLING

4.1 Business Model

apicheap.net operates on a pay-per-use credit model:

You purchase API credits in advance
Credits are consumed as you make API requests
Usage is tracked and displayed on your dashboard
All prices are in USD unless explicitly stated otherwise

4.2 Payment Methods

We accept the following payment methods:

Card payments: Visa, international cards, and other major networks)
International bank transfer: Wire transfer to our designated business accounts

Payment Processing Fees: A payment processing fee may apply depending on your chosen payment method and region. The applicable fee will be displayed at checkout before you confirm the transaction.

We do not store full credit card details on our servers. All payment information is processed securely by licensed third-party payment processors.

4.3 Authorization

By submitting payment information, you authorize us (via our payment processors) to charge the applicable fees — including any processing fees — to your payment method.

4.4 All Sales Final

ALL SALES OF API CREDITS ARE FINAL AND NON-REFUNDABLE ONCE ANY API REQUEST HAS BEEN MADE. See our Refund Policy for complete details.

4.5 Failed Payments

If a payment fails, you will be notified via email. Service access may be limited until payment is resolved.

4.6 Taxes

You are responsible for all applicable taxes. We may collect and remit taxes where required by law. Tax-exempt organizations must provide valid documentation.

4.7 Price Changes

We reserve the right to modify pricing at any time. Price changes:

Take effect 30 days after notice for existing customers
Apply immediately to new customers
Do not affect prepaid credits already in your account

5. REFUND POLICY

All sales of API credits are final. Once an API key has been utilized (i.e., any API request has been generated and logged), no refunds will be issued under any circumstances.

For B2B consulting and Agent Setup services, payments for completed milestones are non-refundable. Prepaid amounts for unstarted milestones are refundable if the project is cancelled.

6. ACCEPTABLE USE POLICY (AUP)

6.1 Prohibited Content

You agree NOT to use the Services to generate, distribute, or promote:

Illegal Content:

Child sexual abuse material (CSAM) — reported to authorities
Content promoting terrorism or violent extremism
Instructions for creating weapons or explosives
Content facilitating human trafficking or modern slavery

Harmful Content:

Spam, phishing, social engineering attacks
Malware, ransomware, or malicious code
Harassment, bullying, stalking, or threats of violence
Hate speech based on race, religion, gender, sexuality, disability, nationality

Deceptive Content:

Impersonation of individuals, organizations, or government entities
Disinformation campaigns intended to manipulate public opinion or elections
Fraudulent business schemes, scams, or pyramid schemes

Sexually Explicit Content:

Pornography or sexually explicit material
Any content involving minors (strictly prohibited, reported to NCMEC)
Non-consensual intimate imagery

6.2 Prohibited Conduct

You agree NOT to:

API Abuse:

Reverse engineer, decompile, or disassemble our API
Use multiple accounts, proxies, or automation to exceed rate limits
Publish API keys publicly (GitHub, forums, social media)
Resell API access without written permission
Scrape API responses for training competing AI models

Security Violations:

Attempt unauthorized access to our systems or user accounts
Exploit vulnerabilities without responsible disclosure
Launch DDoS or denial-of-service attacks

6.3 Rate Limits

Default rate limits apply unless otherwise specified in your plan:

Burst Policy: Short bursts (up to 2x limit) are allowed for up to 10 seconds. Sustained overages result in throttling.

6.4 Enforcement

Appeal Process: Email admin@apicheap.net within 7 days with your account ID, explanation, and supporting evidence. Response within 10 business days.

7. INTELLECTUAL PROPERTY

7.1 Our Property

LOOM AGENCY LIMITED owns all rights, title, and interest in and to:

API infrastructure, code, and algorithms
Documentation, guides, and tutorials
Trademarks, logos, and brand assets (apicheap.net)
Agent configurations and templates we create

7.2 Your Content

You retain all ownership rights to:

Prompts and inputs you submit to the API
Outputs generated from your prompts
Your business data and customer information
Applications you build using our API

7.3 License Grant

By using the Services, you grant us a limited, worldwide, royalty-free license to:

Process your prompts through AI models to generate outputs
Store data as necessary to provide the Services
Use anonymized, aggregated data for analytics and service improvement

This license does not include using your prompts or outputs to train foundational AI models (see Section 8).

7.4 Feedback

Any feedback, suggestions, or feature requests you provide may be used by us without compensation or attribution.

8. DATA PROCESSING AND AI MODEL TRAINING

8.1 Customer Data Protection

WE DO NOT USE CUSTOMER DATA TO TRAIN AI MODELS.

LOOM AGENCY LIMITED affirms that:

Customer prompts and API inputs are NOT used for training, fine-tuning, or improving underlying AI models
Customer outputs are NOT used for model training
Customer data is processed solely to return the requested API response
We do not sell, rent, or share customer prompts or outputs with third parties (except as required for service delivery)

This commitment is a core business principle of apicheap.net. Any breach of this commitment by our employees or contractors will result in immediate termination and may invite legal action.

8.2 Data Processing

Customer data may be processed for the following purposes only:

API request fulfillment
Security monitoring and fraud prevention
Billing and account management
Customer support
Legal compliance

We reserve the right to monitor, log, and analyze all API usage patterns for the purpose of detecting fraud, abuse, security threats, and violations of these Terms. Such monitoring is automated and does not involve human review of prompt content unless a violation is detected or suspected.

8.3 Third-Party AI Providers

Our Services rely on third-party AI model providers. By using apicheap.net, you acknowledge that:

Your prompts may be processed by third-party AI infrastructure
Third-party providers may have their own terms and privacy policies
We do not control third-party model behavior or outputs
We are not liable for any data processing activities conducted by third-party AI providers beyond our control

We endeavor to select AI providers with strong data protection commitments and policies that restrict the use of API data for model training. We encourage you to review the privacy policies of our upstream AI providers for full transparency.

8.4 Data Retention

We retain customer data for the following periods:

Required to protect the rights, property, or safety of LOOM AGENCY LIMITED, our customers, or the public

9. DISCLAIMERS AND NO WARRANTY

9.1 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY, RELIABILITY, OR COMPLETENESS
UNINTERRUPTED OR ERROR-FREE OPERATION

9.2 AI Limitations

You acknowledge and agree that:

AI-generated outputs may be inaccurate, biased, incomplete, or inappropriate
You are solely responsible for verifying and validating AI outputs before use
We do not guarantee the availability, performance, or quality of any AI model
Third-party AI providers may change, suspend, or discontinue models without notice
AI outputs should not be relied upon for medical, legal, financial, or other professional advice

9.3 Service Availability

We target high availability as described in our Service Level Agreement, but do not guarantee zero downtime or immediate resolution of all technical issues.

10. LIMITATION OF LIABILITY

10.1 Damages Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOOM AGENCY LIMITED'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) USD $500.

10.2 Excluded Damages

IN NO EVENT SHALL LOOM AGENCY LIMITED BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
BUSINESS INTERRUPTION OR DOWNTIME COSTS
THIRD-PARTY CLAIMS OR DAMAGES
DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT DUE TO YOUR FAILURE TO SECURE CREDENTIALS
DAMAGES ARISING FROM THIRD-PARTY AI PROVIDER OUTAGES, ERRORS, OR POLICY CHANGES
DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED OUTPUTS

10.3 Indemnification

You agree to indemnify, defend, and hold harmless LOOM AGENCY LIMITED, its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and investigation costs) arising from or related to:

Your use or misuse of the Services
Your violation of these Terms, the Acceptable Use Policy, or applicable law
Your generated content, outputs, or any application built using our API
Your infringement of any third-party intellectual property, privacy, or other rights
Any chargeback, payment dispute, or fraudulent transaction associated with your account
Any third-party claim resulting from content you generated using our Services

10.4 Fraud Investigation Rights

We reserve the right to investigate suspected fraud, abuse, or Terms violations. During investigation, we may:

Suspend your account and withhold remaining credits
Review API usage logs and account activity
Share relevant information with payment processors and law enforcement
Terminate your account without prior notice if fraud is confirmed

You agree to cooperate with any investigation and provide information reasonably requested.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law

These Terms are governed by and construed in accordance with:

Hong Kong Special Administrative Region laws for Company-related matters
United States federal and state laws (Delaware) for US customers and transactions

Where conflicts arise, Hong Kong law takes precedence for Company operations, and US law applies for US consumer protection requirements.

11.2 Dispute Resolution Process

Step 1 — Direct Resolution (Required): Contact admin@apicheap.net with a detailed description of the dispute. We will respond within 5 business days.

Step 2 — Mediation (Optional): If unresolved after 30 days, either party may request mediation through a mutually agreed mediator. Costs are shared equally.

Step 3 — Binding Arbitration (If Necessary):

Hong Kong International Arbitration Centre (HKIAC) for non-US customers
American Arbitration Association (AAA) for US customers

Arbitration shall be conducted in English, with the venue in Hong Kong (HKIAC) or New York (AAA).

11.3 Class Action Waiver

You waive the right to participate in class actions, class arbitrations, or representative actions against LOOM AGENCY LIMITED. This waiver applies to the extent permitted by applicable law in your jurisdiction.

11.4 Small Claims Exception

Either party may bring individual claims in small claims court for disputes within the court's monetary jurisdiction.

11.5 Injunctive Relief

We may seek injunctive relief in any competent court to prevent or stop violations of these Terms.

12. TERMINATION

12.1 Termination by You

You may close your account at any time by emailing admin@apicheap.net.

12.2 Termination by Us

We may suspend or terminate your account for:

Acceptable Use Policy violations
Non-payment
Fraudulent or illegal activity
Extended inactivity (12+ months)
Violation of these Terms

We will provide notice where practicable, except in cases of severe violations where immediate termination may occur.

12.3 Effect of Termination

Upon termination:

All API keys are immediately revoked
Access to the Services is terminated
Unused credits are forfeited (except as required by Hong Kong or US law)
Data is deleted per our Privacy Policy retention schedules
Outstanding balances remain due and payable

12.4 Survival

The following sections survive termination: Intellectual Property (7), Data Processing (8), Disclaimers (9), Limitation of Liability (10), Governing Law (11).

13. CHANGES TO TERMS

Material Changes: 30 days advance notice via email
Minor Changes: Immediate effect with updated "Last Updated" date
Legal Compliance: Immediate effect where required by law

Your continued use of the Services after changes constitutes acceptance.

14. MISCELLANEOUS

14.1 Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Service Level Agreement, constitute the entire agreement between you and LOOM AGENCY LIMITED.

14.2 Severability

If any provision is found invalid, the remaining provisions remain in full force. The invalid provision shall be modified to the minimum extent necessary.

14.3 Assignment

You may not assign your rights without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale.

14.4 Force Majeure

We are not liable for delays or failures resulting from causes beyond our reasonable control (natural disasters, pandemics, war, government actions, infrastructure failures, third-party service outages).

14.5 Waiver

Failure to enforce any right does not constitute a waiver. Waivers must be in writing.

14.6 Language

These Terms are written in English. The English version controls in case of conflict with translations.

8. DATA PROCESSING AND AI MODEL TRAINING

8.1 Customer Data Protection

WE DO NOT USE CUSTOMER DATA TO TRAIN AI MODELS.

LOOM AGENCY LIMITED affirms that:

Customer prompts and API inputs are NOT used for training, fine-tuning, or improving underlying AI models
Customer outputs are NOT used for model training
Customer data is processed solely to return the requested API response
We do not sell, rent, or share customer prompts or outputs with third parties (except as required for service delivery)

This commitment is a core business principle of apicheap.net. Any breach of this commitment by our employees or contractors will result in immediate termination and may invite legal action.

8.2 Data Processing

Customer data may be processed for the following purposes only:

API request fulfillment
Security monitoring and fraud prevention
Billing and account management
Customer support
Legal compliance

8.3 Third-Party AI Providers

Our Services rely on third-party AI model providers. By using apicheap.net, you acknowledge that:

Your prompts may be processed by third-party AI infrastructure
Third-party providers may have their own terms and privacy policies
We do not control third-party model behavior or outputs
We are not liable for any data processing activities conducted by third-party AI providers beyond our control

8.4 Data Retention

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY, RELIABILITY, OR COMPLETENESS
UNINTERRUPTED OR ERROR-FREE OPERATION

9.2 AI Limitations

You acknowledge and agree that:

AI-generated outputs may be inaccurate, biased, incomplete, or inappropriate
You are solely responsible for verifying and validating AI outputs before use
We do not guarantee the availability, performance, or quality of any AI model
Third-party AI providers may change, suspend, or discontinue models without notice
AI outputs should not be relied upon for medical, legal, financial, or other professional advice

9.3 Service Availability

We target high availability as described in our Service Level Agreement, but do not guarantee zero downtime or immediate resolution of all technical issues.

10. LIMITATION OF LIABILITY

DAMAGES ARISING FROM THIRD-PARTY AI PROVIDER OUTAGES, ERRORS, OR POLICY CHANGES
DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED OUTPUTS

10.3 Indemnification

Your use or misuse of the Services
Your violation of these Terms, the Acceptable Use Policy, or applicable law
Your generated content, outputs, or any application built using our API
Your infringement of any third-party intellectual property, privacy, or other rights
Any chargeback, payment dispute, or fraudulent transaction associated with your account
Any third-party claim resulting from content you generated using our Services

10.4 Fraud Investigation Rights

We reserve the right to investigate suspected fraud, abuse, or Terms violations. During investigation, we may:

Suspend your account and withhold remaining credits
Review API usage logs and account activity
Share relevant information with payment processors and law enforcement
Terminate your account without prior notice if fraud is confirmed

You agree to cooperate with any investigation and provide information reasonably requested.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law

These Terms are governed by and construed in accordance with:

Hong Kong Special Administrative Region laws for Company-related matters
United States federal and state laws (Delaware) for US customers and transactions

Where conflicts arise, Hong Kong law takes precedence for Company operations, and US law applies for US consumer protection requirements.

11.2 Dispute Resolution Process

Step 1 — Direct Resolution (Required): Contact admin@apicheap.net with a detailed description of the dispute. We will respond within 5 business days.

Step 2 — Mediation (Optional): If unresolved after 30 days, either party may request mediation through a mutually agreed mediator. Costs are shared equally.

Step 3 — Binding Arbitration (If Necessary):

Hong Kong International Arbitration Centre (HKIAC) for non-US customers
American Arbitration Association (AAA) for US customers

Arbitration shall be conducted in English, with the venue in Hong Kong (HKIAC) or New York (AAA).

11.3 Class Action Waiver

11.4 Small Claims Exception

Either party may bring individual claims in small claims court for disputes within the court's monetary jurisdiction.

11.5 Injunctive Relief

We may seek injunctive relief in any competent court to prevent or stop violations of these Terms.

12. TERMINATION

12.1 Termination by You

You may close your account at any time by emailing admin@apicheap.net.

12.2 Termination by Us

We may suspend or terminate your account for:

Acceptable Use Policy violations
Non-payment
Fraudulent or illegal activity
Extended inactivity (12+ months)
Violation of these Terms

We will provide notice where practicable, except in cases of severe violations where immediate termination may occur.

12.3 Effect of Termination

Upon termination:

All API keys are immediately revoked
Access to the Services is terminated
Unused credits are forfeited (except as required by Hong Kong or US law)
Data is deleted per our Privacy Policy retention schedules
Outstanding balances remain due and payable

12.4 Survival

The following sections survive termination: Intellectual Property (7), Data Processing (8), Disclaimers (9), Limitation of Liability (10), Governing Law (11).

13. CHANGES TO TERMS

Material Changes: 30 days advance notice via email
Minor Changes: Immediate effect with updated "Last Updated" date
Legal Compliance: Immediate effect where required by law

Your continued use of the Services after changes constitutes acceptance.

14. MISCELLANEOUS

14.1 Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Service Level Agreement, constitute the entire agreement between you and LOOM AGENCY LIMITED.

14.2 Severability

If any provision is found invalid, the remaining provisions remain in full force. The invalid provision shall be modified to the minimum extent necessary.
